Terms of Use

1 · Acceptance of Terms

By downloading, installing, accessing, or using the Rehearse Management mobile application ("the App"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, you must not use the App.

These Terms constitute a legally binding agreement between you and Everett Anton ("Developer," "we," "us," or "our"), an individual developer based in Colorado, United States of America.

2 · Description of Service

Rehearse Management is a scheduling, attendance, conflict management, and communication tool designed for use by performing arts organizations. The App enables production managers to create and manage rehearsal schedules, set builds, performances, and generic production events; track member attendance (including through location-based geofence check-in); review and approve member availability conflicts; manage live show cue states in real time; generate exportable production calendars; maintain a contact directory of production members; and communicate with cast and crew through announcements and targeted messages. Members can view their schedule, submit availability conflicts, receive push notifications, and check in to rehearsals from their assigned production(s).

The App is intended for use exclusively by individuals who have been granted access by an authorized production manager. It is not available for self-registration by the general public.

3 · Eligibility

To use the App, you must:

• Be at least 13 years of age;
• Have received an invitation or access credentials from an authorized production manager;
• Have the legal capacity to enter into a binding agreement; and
• Comply with all applicable laws and regulations in your jurisdiction.

By using the App, you represent and warrant that you meet all of the above requirements.

4 · User Accounts

Access to the App requires an account created with a valid email address and password. You are solely responsible for:

• Maintaining the confidentiality of your account credentials;
• All activity that occurs under your account, whether or not authorized by you; and
• Notifying us immediately at privacy@rehearse.management if you suspect unauthorized access to or use of your account.

You may not share your account credentials with another person or allow another person to use your account to access the App.

5 · User Roles and Permissions

The App assigns users one of two primary roles within each production:

Managers

Managers are authorized to: create and administer productions; add and remove members; create and edit rehearsal, set build, performance, and generic event schedules; designate called members; review, approve, and reject member conflict submissions; enter conflicts on behalf of members; record and manage attendance; configure venue geofences and trusted WiFi networks for location-based check-in; manage live show cue states; generate and share production calendar feeds; access and export the production contact directory (including phone numbers where collected); write rehearsal reports; and send announcements and targeted messages to production members.

Members

Members are authorized to: view production schedules and rehearsal calls applicable to them; submit, update, and remove their own availability conflicts; view their submitted conflicts and approval status; check in to rehearsals using location-based or WiFi-based verification where enabled; receive announcements and push notifications; view live show information during performances; and view their own attendance records.

You agree to use the App only within the scope of the role assigned to you. Attempting to access functionality or data beyond your assigned role is a violation of these Terms.

6 · Device Permissions

Certain features of the App require permissions to access device capabilities. You may choose to grant or deny these permissions; however, denying a permission will disable the features that depend on it.

Location (Geofencing)

The App may request permission to access your device's location, including background location access, to support venue-based attendance check-in. When this permission is granted, the App uses your GPS coordinates to determine whether you are physically present within a defined boundary around a rehearsal venue. Location data is used only for this purpose and is not stored as a historical record. You may revoke location permission at any time through your device's system settings.

WiFi Network Access

The App may read the name of the WiFi network your device is currently connected to in order to verify attendance at venues where a manager has configured trusted networks. This check is performed locally and the network name is not transmitted to or retained by our servers.

Push Notifications

The App requests permission to send push notifications to deliver rehearsal reminders, schedule change alerts, attendance notifications, and announcements from your production manager. You may adjust notification preferences at any time through your device's system settings or within the App.

7 · Privacy

Your use of the App is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the App, you consent to the collection and use of your information as described in the Privacy Policy.

8 · Acceptable Use

You agree that you will not use the App to:

• Violate any applicable federal, state, local, or international law or regulation;
• Submit false, misleading, or fraudulent information, including false conflict submissions;
• Impersonate any person or entity, or misrepresent your affiliation with a production;
• Attempt to gain unauthorized access to any part of the App, its servers, its databases, or any systems or networks connected to the App;
• Interfere with, disrupt, or degrade the performance or availability of the App or its underlying infrastructure;
• Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code of the App;
• Use automated scripts, bots, or other tools to access or interact with the App;
• Harass, threaten, intimidate, or harm any other user; or
• Use the App for any purpose other than its intended scheduling and communications functions.

9 · Content and Data

You retain ownership of any personal information and content you submit to the App (such as conflict explanations or announcement messages). By submitting content, you grant us a limited, non-exclusive license to store and display that content within the App as necessary to provide the service.

You are responsible for the accuracy of any information you submit. We are not liable for scheduling decisions made in reliance on information submitted by users. Scheduling information displayed in the App is intended as a convenience and should be verified directly with production management for critical decisions.

We reserve the right to remove or modify any content that violates these Terms.

10 · Intellectual Property

The App, including its design, source code, graphics, user interface, and all other content created by the Developer, is the exclusive property of Everett Anton and is protected by applicable copyright, trademark, and other intellectual property laws of the United States.

These Terms grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the App on your personal device solely for its intended purpose. You may not copy, modify, distribute, sublicense, sell, or create derivative works based on the App or any part of it.

11 · Third-Party Services

The App relies on the following third-party services to function:

• Google Firebase — for authentication and cloud data storage
• Expo — for push notification delivery
• Apple App Store — for distribution on iOS devices

Your use of these services is also subject to their respective terms of service and privacy policies. We are not responsible for the practices of these third parties.

12 · Disclaimers

THE APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY INFORMATION DISPLAYED IN THE APP, INCLUDING SCHEDULE DATA ENTERED BY OTHER USERS.

YOUR USE OF THE APP IS AT YOUR SOLE RISK. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.

13 · Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EVERETT RANDOLPH ANTON SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE APP, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL THE DEVELOPER'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE APP EXCEED ONE HUNDRED U.S. DOLLARS ($100.00).

14 · Indemnification

You agree to indemnify, defend, and hold harmless Everett Anton from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of or access to the App; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) any content or information you submit through the App.

15 · Termination

We reserve the right, in our sole discretion, to suspend or terminate your access to the App at any time, with or without notice, for any reason, including but not limited to violation of these Terms, conduct that we determine to be harmful to other users or the App, or cessation of the App's operation.

Production managers may remove members from a production at any time, which will revoke that member's access to that production's data.

Upon termination, your right to use the App ceases immediately. Provisions of these Terms that by their nature should survive termination (including sections on Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Governing Law) shall survive.

16 · Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Colorado, United States of America, without regard to its conflict of law principles.

Any dispute arising out of or relating to these Terms or your use of the App shall be resolved exclusively in the state or federal courts located in Colorado, and you consent to the personal jurisdiction of such courts.

17 · Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Last Updated" date at the top of this page and, where appropriate, provide notice through the App or by email.

Your continued use of the App after any such changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the App.

18 · General Provisions

Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and the Developer with respect to the App and supersede all prior agreements and understandings.

Severability. If any provision of these Terms is found to be unenforceable or invalid, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

Waiver. Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.

Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
